EFG To Propose New Board Members As Co-Founder, Chairman Steps Down

The Swiss wealth management house will propose a number of new board members later this month as its award-winning co-founder steps down.
EFG International, the Swiss-based wealth management house, will propose that Joachim Strähle becomes the new chairman of the board, taking the helm from Jean Pierre Cuoni. Cuoni is stepping down from the firm he co-founded 20 years ago, while remaining with the firm in an ambassadorial role. The proposal is being put to shareholders at the 24 April annual general meeting.
Cuoni, as previously reported here, was honoured by this publication with a lifetime achievement award at the WealthBriefing Switzerland Awards 2015 in Geneva.
Among other proposals for board members are Niccolò Burki, Emmanuel Bussetil, Erwin Caduff, Robert Chiu, Michael Higgin, Spiro Latsis, Bernd-Albrecht von Maltzan, Périclès Petalas and Daniel Zuberbühler. Hugh Matthews has decided not to seek another term of office.
The following individuals will be proposed as members of the remuneration committee: Burki, Bussetil, Petalas, Caduff and Strähle.
The firm is also proposing to amend some of its articles of association, such as changes arising from the new Ordinance against Excessive Compensation with respect to listed companies.
It is also proposing to hike conditional capital of SFr1.0 million ($1.04 million) by issuing a maximum of 2 million fully paid-up registered shares with a nominal value of SFr0.5 each.
For the first time, compensation for members of the board of directors and the executive committee of EFG International will be approved by shareholders (binding vote) at the meeting.
